Terms of Service

These Terms of Service ("Terms") govern access to and use of the Shopsitive platform and shopsitive.com, provided by Coast Investment Co LLC ("Shopsitive," "we," "us," or "our"). By creating an account or using the platform, you agree to these Terms on behalf of yourself and the business you represent. If you do not agree, do not use the service.

Shopsitive is developed by Coast Investment Co LLC, a company founded in Florida in 2023.

1. Acceptance of Terms

By creating an account or using Shopsitive, you confirm that you are at least 18 years of age (or the age of majority in your jurisdiction), have authority to bind your business to these Terms, and will comply with applicable law.

2. The Service

Shopsitive is a software platform for service and commerce businesses to run quotes, orders, customers, invoices, payments, and customer portals. Shopsitive is early-stage and evolving; features, plans, and pricing may change, and current plans are described at /pricing/.

3. Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account, including actions taken by team members you invite. Notify us immediately at hello@shopsitive.com if you suspect unauthorized access.

4. Fees and Payment

Applicable fees are described at /pricing/ and are processed securely through Stripe. By providing payment information, you authorize us to charge the amounts due for your plan. We may change our fees or plans, and will provide reasonable notice before a change takes effect for an existing account.

5. Your Content and Data

You retain ownership of the business data and content you or your team enter into the platform — customer and contact records, quotes, orders, invoices, catalog data, and uploaded files. You grant us a limited license to host, process, and display that content solely to provide the service to you. You represent that you have the necessary rights to any artwork, logos, or other content you upload, and that it does not infringe any third party's rights or violate applicable law.

6. Optional AI Assistant

The CRM AI assistant is an add-on module, off unless you explicitly enable it. When enabled, it generates draft summaries and follow-up text based on your account data, for a person on your team to review before use — it does not send anything or take action on its own, and it can be wrong. You are responsible for reviewing any AI-generated content before relying on it or sending it to a customer. See our Privacy Policy for how this feature processes data.

7. Optional Voice Receptionist

The AI voice receptionist is a separate add-on module, off unless you explicitly enable it. When enabled, calls to your configured number may be recorded and transcribed through our voice partner. You are responsible for providing any consent or recording disclosure required by applicable law in the jurisdictions where your business operates — the voice agent's script does not include this for you automatically.

8. Acceptable Use

You agree not to:

• Use the platform for any unlawful purpose
• Attempt to gain unauthorized access to our systems or another organization's data
• Use the platform's SMS, email, or voice features to send unsolicited or unlawful communications
• Reverse engineer, scrape, or use automated tools against the platform except through APIs we provide
• Resell or provide access to the platform to third parties without our authorization

9. Third-Party Services

The platform relies on third-party providers — including Stripe, Twilio, Retell, and Anthropic — to deliver certain features. Your use of those features is also subject to those providers' own terms, and we are not responsible for their acts or omissions.

10. Intellectual Property

We own the Shopsitive platform, software, and branding. Nothing in these Terms transfers that ownership to you. You retain ownership of your own business data and content, as described in Section 5.

11. Termination

You may stop using the service at any time. We may suspend or terminate your access if you violate these Terms. On termination, your right to access the platform ends; our Privacy Policy governs how long we retain your data afterward.

12. Disclaimer of Warranties

The service is provided "as is" and "as available," without warranties of any kind, express or implied. We do not warrant that the platform will be uninterrupted or error-free, particularly given its early-access stage.

13. Limitation of Liability

To the maximum extent permitted by law, Shopsitive and its officers, employees, and agents are not liable for indirect, incidental, special, consequential, or punitive damages arising from your use of the service. Our total liability for any claim relating to the service will not exceed the amount you paid us in the 12 months before the claim arose.

14. Governing Law and Disputes

These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-law provisions. Any dispute arising from these Terms or your use of the service will be resolved exclusively in the state or federal courts located in Broward County, Florida, and you consent to the personal jurisdiction of those courts.

15. Changes to These Terms

We may update these Terms from time to time. Changes will be posted on this page with an updated date. Continued use of the service after a change constitutes acceptance of the revised Terms.
